1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Nook Finances LLC, a Florida limited liability company ("Nook," "we," "us," or "our"), governing your access to and use of the Nook Finances platform, including the website at nookfinances.com and all related features, tools, and services (collectively, the "Platform").

By registering for an account, clicking "I Agree," or otherwise accessing or using the Platform, you represent that: (a) you have read, understood, and agree to be bound by these Terms; (b) you are at least 18 years of age; (c) you have the legal capacity to enter into a binding agreement; and (d) your use of the Platform complies with all applicable laws and regulations.

These Terms should be read together with our Privacy Policy, which is incorporated by reference.

2. Description of Service

Nook Finances is a read-only personal finance management platform that allows you to:

  • Connect your financial accounts through Plaid Technologies, Inc. ("Plaid")
  • View aggregated account balances, holdings, and transaction history across linked institutions
  • Track spending, bills, and cash flow, and build spending plans and budgets
  • If you choose to allow AI features, receive AI-generated answers, summaries, insights, and reports based on your data (see Section 8.1)
  • Run hypothetical financial simulations in the Playground (life-path, portfolio, business pivot) using third-party market data
  • Optionally participate in a Circle or Network Plan with member-controlled, person-by-person data sharing and private messaging (Flow)
  • Optionally participate in anonymized benchmark percentile comparisons
  • Receive background-computed insights (including cashflow forecasts, anomaly detection, Monte Carlo net-worth projections, internal-transfer detection, tax-loss-harvesting candidates, portfolio drift and concentration warnings, and realized-gain summaries) generated on a recurring schedule by a hosted worker (see Section 4.5)
  • View illustrative federal tax estimates derived from your existing linked-account data, with optional manual adjustments (see Sections 8.5 and 8.8)
  • Practice trading with entirely simulated money in the paper-trading simulator, using delayed third-party market data (see Section 8.6)
  • Explore lottery outcomes in an educational lottery simulator (see Section 8.7)
  • Export a complete portable copy of your data (PDF, CSV, JSON) and delete your account entirely in-app

IMPORTANT — READ-ONLY NATURE OF THE PLATFORM: Nook is a display, aggregation, and informational tool only. Nook does not and cannot: initiate, authorize, or process financial transactions; move, transfer, or have custody of your money; provide personalized investment, tax, legal, or financial-planning advice; recommend specific securities, insurance, credit, or tax actions; or act as a bank, broker-dealer, investment adviser, fiduciary, or financial institution. Any financial decision you make based on information displayed in the Platform is made entirely at your own risk.

3. Eligibility and Account Registration

3.1 Age Requirement

The Platform is intended solely for individuals who are 18 years of age or older. By creating an account or accepting a Circle or Network Plan invitation, you represent and warrant that you are at least 18 years old. If we determine that you are under 18, we will terminate your account and delete your data.

3.2 Account Creation

To access the Platform's features, you must register for an account by providing a valid email address, your name, and a password. You agree to provide accurate, current, and complete information and to keep it updated. We may require email-based one-time passcode (OTP) verification at sign-up and at each login.

3.3 Account Security

You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) the security of the email account that receives your login OTPs and account-deletion tokens; (c) the list of trusted devices associated with your account; and (d) all activity that occurs under your account. You must notify us immediately at security@nookfinances.com if you become aware of any unauthorized access. Nook is not liable for any loss arising from your failure to maintain the security of your account, your email, or your trusted devices.

3.4 One Account Per User

Each user is permitted one active account. Creating duplicate, automated, or fraudulent accounts — including to obtain additional free trials or benchmark cohort influence — is prohibited and may result in termination of all associated accounts and forfeiture of any earned rewards or credits.

4. Plaid Integration and Financial Account Linking

4.1 Plaid as Service Provider

Nook uses Plaid to facilitate the connection between the Platform and your financial institutions. By connecting your financial accounts through the Platform, you authorize Nook to obtain and display your financial data through Plaid on your behalf, on a strictly read-only basis.

4.2 Plaid's Terms

Your use of Plaid's services in connection with the Platform is governed by Plaid's End User Privacy Policy and Terms of Service, available at plaid.com/legal. You agree to comply with Plaid's terms in addition to these Terms. Nook is not responsible for any acts or omissions of Plaid, your financial institutions, or any other upstream data source.

4.3 Authorization and Identity Verification

By linking your financial accounts, you grant Nook and Plaid permission to access, retrieve, and display your financial data from the linked institutions. You represent and warrant that you are the legal owner of, or are otherwise authorized to access, every account you connect. Nook may surface ownership-mismatch warnings based on Plaid identity data; you are responsible for reviewing and acting on those warnings.

4.4 Data Accuracy

Financial data displayed in the Platform is sourced from your financial institutions via Plaid and from third-party market-data providers used in the Playground. Nook does not guarantee the accuracy, completeness, timeliness, or reliability of any data displayed. Data may be delayed, missing, mis-categorized, or subject to errors introduced by upstream sources. You should always verify important financial information directly with your financial institution before acting on it.

4.5 Background-Computed Insights — Beta and Experimental

Certain Platform outputs are produced by a hosted background-insights worker that runs on a recurring schedule and computes derived analytics from the same data described above. These outputs include, without limitation, cashflow forecasts, anomaly detection, Monte Carlo net-worth projections, internal-transfer detection, tax-loss-harvesting candidates, portfolio drift and concentration warnings, realized-gain summaries, and reference market data such as the S&P 500 history.

Background-computed insights are provided on a beta, experimental, "as-is" and "as-available" basis. Nook makes no representation or warranty as to their accuracy, completeness, freshness, or fitness for any purpose. Outputs may be wrong, stale, delayed, missing, suspended, or discontinued at any time, with or without notice. You assume all risk of any reliance on a background-computed insight. To the maximum extent permitted by law, Nook shall have no liability for any decision, action, omission, loss, missed opportunity, tax consequence, or other outcome attributable in whole or in part to a background-computed insight, and Sections 10, 11, and 12 of these Terms apply with full force to these features. Background-computed insights do not constitute investment, tax, legal, accounting, insurance, retirement, or financial-planning advice (see Sections 8 and 15.7).

5. Subscription Plans, Trials, and Payments

5.1 Free Tier

Nook offers a Free tier that provides access to core Platform features at no charge. On our website, Free tier users may see contextual sponsored placements (see Section 6.4); our iOS and Android apps show no ads or sponsored content. We reserve the right to modify, limit, or discontinue the Free tier at any time with reasonable notice.

Connection cooldown. To deter abuse of the single-institution Free tier, when a Free tier user links a financial institution that connection slot is locked for 30 days. Removing the institution during this period does not lift the lock — you cannot link another institution until the 30 days elapse, except that if you remove an institution within 24 hours of linking it you may link one replacement without waiting. This cooldown applies only to the Free tier, not to paid tiers.

5.2 Paid Tiers (Premium, Circle and Network)

Nook offers paid subscription tiers that provide access to premium features such as advanced reporting, the Playground, AI insights, and the Circle or Network Plan. Subscription fees and billing terms are clearly disclosed before you are charged. By subscribing, you agree that:

  • The Circle Plan covers up to 5 members and the Network Plan up to 10
  • Website fees are stated in U.S. dollars; in-app prices are shown in your local currency by Apple or Google. All fees are non-refundable except where required by applicable law, by Apple's or Google's policies for in-app purchases, or as expressly stated by Nook
  • Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date
  • You may cancel a paid subscription at any time; cancellation takes effect at the end of the then-current billing period. A 16-day grace period then applies, during which your account keeps full access. When that grace period ends, Nook permanently deletes all but your oldest linked financial institution, together with every account and transaction belonging to the institutions removed. This brings the account within the Free tier's one-institution limit. The deletion is irreversible and the data cannot be recovered; relinking an institution afterwards re-imports only the history the provider still makes available. Export any data you wish to keep before the grace period ends (Settings → Export data).
  • We reserve the right to change subscription pricing with at least 30 days' advance notice
  • Payment processing on the web is performed by Stripe, Inc. and is subject to Stripe's terms; Nook does not store full payment-card data
  • Mobile subscriptions (iOS and Android). Subscriptions purchased through the iOS App Store or Google Play are sold by Apple Inc. and Google LLC, respectively, as the merchant of record. Apple's Standard EULA and Google Play's Terms of Service govern those purchases. All requests for refunds, renewal, price-change disclosure, cancellation, and chargebacks for mobile purchases must be made through Apple or Google in accordance with their policies; Nook cannot process, reverse, or refund a mobile subscription charge. Cancelling a mobile subscription in Apple or Google takes effect at the end of the then-current billing period in accordance with the applicable platform's rules.

5.3 Free Trial

Eligible users on our website may activate a one-time 30-day Premium free trial. No payment method is required, and the trial does not convert to a paid subscription: when it ends, your account returns to the Free tier unless you choose to subscribe. Trial eligibility is limited to one trial per person and may not be combined with other promotions. Nook may revoke trial eligibility for accounts that appear duplicative, fraudulent, or abusive.

5.4 Taxes

You are responsible for all applicable taxes, levies, or duties associated with your use of the Platform, excluding taxes on Nook's income.

5.5 RevenueCat and Cross-Platform Entitlement

Nook uses RevenueCat, Inc. as its subscription-management service provider to synchronize entitlement state across web, iOS, and Android. The active subscription entitlement attached to your Nook account is honored on every platform where you sign in, but the underlying billing relationship remains with the original merchant of record (Stripe for web purchases, Apple for iOS purchases, Google for Android purchases). Switching platforms does not transfer the billing relationship and does not entitle you to a refund or proration; you must cancel any duplicate subscription directly with the original merchant of record.

6. Acceptable Use

6.1 Permitted Use

You may use the Platform solely for your own personal, non-commercial financial management purposes in accordance with these Terms and all applicable laws.

6.2 Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Platform, other user accounts, Circle data, or Nook's systems
  • Scrape, crawl, index, or harvest any data from the Platform by automated means
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform
  • Introduce any virus, malware, ransomware, or other harmful code into the Platform
  • Use the Platform in any manner that could damage, disable, overburden, or impair our infrastructure
  • Impersonate any person or entity or misrepresent your affiliation
  • Attempt to circumvent any security, authentication, OTP, trusted-device, Privacy Lock, or rate-limit measure
  • Connect, or attempt to connect, financial accounts that you do not own or are not authorized to access
  • Submit prompts to AI features in an attempt to extract personal data of other users, manipulate model output for fraudulent purposes, or generate content that violates law
  • Use the Platform to provide services to third parties without our prior written consent
  • Share your account credentials, OTP codes, or trusted-device access with any other person

6.3 Consequences of Violation

Violation of this Section may result in immediate suspension or termination of your account, forfeiture of subscription fees, and any other remedies available to Nook at law or in equity, at our sole discretion and without notice or liability to you.

6.4 Sponsored Content (Website, Free Tier)

Sponsored placements appear only on our website, only for Free tier users, and never in our mobile apps. They are contextual and are not personalized using your financial data, transactions, or behavior — they are matched only to the general topic of the page you are viewing, not to you personally. Sponsors are independent third parties; Nook does not endorse, guarantee, or assume responsibility for any sponsor's products, services, claims, or practices, and any interaction with a sponsor is solely between you and that sponsor. Tapping a placement opens the sponsor's website in your browser; any information you provide there is governed by that sponsor's terms and privacy policy, not Nook's.

7. Intellectual Property

7.1 Nook's Intellectual Property

The Platform and all content, features, functionality, code, designs, logos, trademarks, trade names (including "Nook Finances" and "Nook"), AI prompts, and intellectual property therein are owned exclusively by Nook Finances LLC and are protected by applicable copyright, trademark, patent, trade-secret, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

7.2 Limited License to Users

Subject to your compliance with these Terms, Nook grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your own personal, non-commercial purposes. This license does not include any right to reproduce, distribute, publicly display, create derivative works of, or commercially exploit the Platform or any portion thereof.

7.3 Your Data

You retain ownership of your personal and financial data. By using the Platform, you grant Nook a limited license to access, store, process, and display your data solely for the purpose of providing the Platform's services to you and to other Circle members to whom you have explicitly granted consent.

7.4 Feedback

If you submit feedback, suggestions, or ideas about the Platform, you grant Nook a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize such feedback without any obligation to compensate or credit you.

7.5 Third-Party Names, Trademarks, and Card Designs — Nominative Fair Use

To help you recognize your own accounts and activity, the Platform displays the names and marks of third parties — including your financial institutions, the names of your specific card products (for example, a card's product line), the last four digits of an account or card number, merchant names on your transactions, and the ticker symbols and names of securities you hold. All such names, product names, logos, and trademarks are the property of their respective owners.

Nook uses these names solely nominatively (that is, descriptively) to identify your own data back to you. This use does not imply, and you should not infer, any affiliation with, sponsorship by, endorsement by, or partnership with any financial institution, card issuer, merchant, or securities issuer. Nook is an independent platform and is not affiliated with any of these third parties.

Nook does not reproduce, store, or display any third party's official logos, card artwork, brand fonts, or exact brand colors. Where the Platform styles a card or an institution — including any color, gradient, or monogram — that styling is Nook's own original, generic rendering created only to help you visually tell your accounts apart. It is not a copy of, and is not intended to be mistaken for, any official card design or brand asset. The product and institution names we show are supplied by Plaid or your institution; we display them as received and do not independently verify their accuracy.

8. AI Features, Reports, Simulations, Paper Trading, Lottery, and Tax Module

8.1 AI-Generated Content

AI features are optional and run only after you allow them; you can turn them off at any time in Settings › AI features (see Privacy Policy Section 3.5). AI-generated content (including chat replies, the Wealth Coach, insights, briefings, and reports) is produced by third-party AI models (currently OpenAI GPT, Google Gemini and Anthropic Claude) on the basis of inputs you provide and a minimum-necessary subset of your financial data. AI output may be incomplete, inaccurate, outdated, biased, or wrong. AI features and Playground simulators are provided for educational and informational purposes only and do not constitute investment, tax, legal, accounting, insurance, retirement, or financial-planning advice, a recommendation to buy or sell any security, or an offer or solicitation of any product.

Playground simulations rely on third-party market data and on user-supplied assumptions; results are hypothetical, do not reflect actual investment performance, and do not account for fees, taxes, slippage, liquidity, or many other real-world factors. Past performance is not indicative of future results. You should consult a qualified, licensed professional before acting on any AI-generated or simulated output.

8.5 Tax Module — Educational Only; Hold Harmless

The Tax page within the Platform (the "Tax Module") presents an illustrative federal estimate derived from data your linked financial institutions have already shared with Nook through Plaid. The Tax Module is provided strictly for educational and informational purposes. It is not tax advice, tax preparation, a substitute for filing a return, or a recommendation to take or refrain from any tax position, and Nook is not a certified public accountant, enrolled agent, tax-return preparer, attorney, financial planner, or tax-prep software provider.

The federal estimate is computed using a deliberately simplified model (ordinary brackets stacked with long-term capital-gains brackets and a Net Investment Income Tax check) and does not account for, among many other inputs: the Alternative Minimum Tax (AMT); the Qualified Business Income deduction (QBI); the foreign tax credit (FTC); the Child Tax Credit (CTC), Earned Income Tax Credit (EITC), or retirement-savings credit; Social Security taxability; state, local, or foreign income tax; payroll taxes; self-employment tax; estimated-tax payments and safe-harbor rules; alternative filing statuses; carryforwards; depreciation; itemized vs. standard deduction modeling; or any pass-through, trust, partnership, or fiduciary income. Plaid transaction categorization, income classification (wages vs. interest vs. dividend vs. capital gain), and brokerage-supplied cost basis are best-effort and may be incomplete or incorrect.

You agree that you will not use, and you will not permit any third party to use, the Tax Module as the basis for filing any tax return, making any payment to a tax authority, claiming any deduction or credit, deciding whether to sell or hold any asset, or taking or refraining from any other tax-significant action. Before acting on any tax-related question, you must consult a qualified, licensed tax professional and verify the underlying numbers against your official 1099, W-2, K-1, and other tax forms.

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Nook Finances LLC, its members, officers, directors, employees, agents, affiliates, and service providers from and against any tax, penalty, interest, addition to tax, audit cost, professional fee, settlement, judgment, or other loss, liability, damage, or expense (including reasonable attorneys' and accountants' fees) arising out of or related to your or any third party's use of, reliance on, or reference to the Tax Module, the data displayed within it, or any output derived from it. The disclaimers and limitations in Sections 10, 11, and 12 of these Terms apply with full force to the Tax Module.

8.6 Paper-Trading Simulator — Entirely Simulated; Not a Brokerage

The paper-trading simulator lets you practice buying and selling securities and cryptocurrency symbols using entirely simulated funds. No real money is ever deposited, invested, traded, moved, or at risk. Simulated balances, positions, orders, and results have no monetary value, are not redeemable, and create no property right. Nook is not a broker-dealer, exchange, alternative trading system, or member of FINRA or SIPC; no simulated activity creates a customer, brokerage, or advisory relationship. Market quotations and charts are supplied by third-party sources, may be delayed, inaccurate, or unavailable, and simulated "fills" (including limit orders, which are checked only when quotes refresh) do not represent prices or liquidity you would obtain in a real market. Simulated performance is not indicative of real trading results, which are affected by fees, taxes, slippage, and liquidity that the simulator does not model. Nook may reset, recalculate, suspend, modify, or discontinue simulated portfolios and the simulator itself at any time without notice or liability. Nothing in the simulator is a recommendation, solicitation, or offer to buy or sell any security or other asset.

8.7 Lottery Simulator — Educational Only; No Gambling Services

The lottery simulator displays publicly available jackpot estimates, generates random numbers for entertainment, and illustrates hypothetical outcomes and tax scenarios. Nook does not sell lottery tickets, accept wagers, facilitate gambling, or have any affiliation with Powerball, Mega Millions, the Multi-State Lottery Association, or any lottery operator. Displayed jackpot amounts, odds, and tax figures are estimates that may be outdated or incorrect. Lottery play has a negative expected value; if gambling stops being fun, call or text 1-800-GAMBLER.

8.8 User Adjustments to Tax Figures

The Tax page allows you to manually adjust the derived income and gains figures used in the illustrative federal estimate. Adjusted values are supplied by you, stored only on your device, never alter your underlying financial records, and are your sole responsibility. The estimate — whether derived or adjusted — remains educational only, is not tax advice, and must not be used as the basis for filing any tax return (see Section 8.5).

9. Circle or Network Plan

Use of the Circle or Network Plan is governed by member-controlled sharing: each member chooses, for every other member separately, what that person may see, and separately which figures count toward Circle totals (Privacy Policy Section 11). Each member must individually link their own accounts; no member may connect accounts on another member's behalf. Sharing can be turned on or off at any time. Disputes between Circle members concerning shared financial information, Circle decisions, comments, or governance are solely between those members; Nook is not a party to and assumes no responsibility for such disputes. Nook reserves the right, but not the obligation, to remove Circle content that violates these Terms.

10. Disclaimer of Warranties

The Platform, including all AI features, reports, Playground simulations, benchmarks, market data, sponsored content, and Circle or Network Plan functionality, is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Nook Finances LLC and its licensors and service providers hereby disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
  • Warranties that the Platform will be uninterrupted, secure, error-free, or free of viruses or other harmful components
  • Warranties regarding the accuracy, completeness, reliability, timeliness, or appropriateness of any financial data, balances, transactions, holdings, market data, AI output, simulation results, or benchmark percentile
  • Warranties that the Platform will meet your requirements or expectations or produce any particular financial outcome

Nook does not provide financial, investment, tax, accounting, insurance, retirement, or legal advice. Information displayed on the Platform is for informational purposes only and should not be relied upon as the sole basis for any financial decision. You should consult a qualified, licensed professional before making significant financial decisions.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Nook Finances LLC, its members, officers, directors, employees, agents, affiliates, licensors, or service providers be liable to you for any:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, savings, investment value, data, goodwill, business opportunities, or anticipated tax benefits
  • Damages arising from your reliance on inaccurate, delayed, incomplete, mis-categorized, or missing financial data, AI output, simulation results, benchmark percentiles, or sponsored content
  • Damages arising from your or another Circle member's investment, tax, credit, insurance, Circle, or other financial decision
  • Damages arising from unauthorized access to or alteration of your data, your email account, or your devices
  • Damages arising from any third-party service or upstream source, including Plaid, your financial institutions, market-data providers, the AI model provider, the payment processor, hosting infrastructure, sponsors, or other Circle members
  • Damages arising from interruption, suspension, downgrade, termination, or discontinuation of the Platform or any feature
  • Damages arising from simulated features, including the paper-trading and lottery simulators — simulated balances, positions, orders, fills, and results have no monetary value and may be reset, recalculated, or lost at any time
  • Damages arising from your manual adjustments to tax figures or from any use of an exported copy of your data after it leaves the Platform

Whether based on warranty, contract, tort (including negligence), strict liability, statute, or any other legal theory, and even if Nook has been advised of the possibility of such damages.

Nook's total aggregate liability to you for any and all claims arising out of or related to these Terms or the Platform shall not exceed the greater of: (a) the total amount you actually paid to Nook in the three (3) months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD $100.00). Multiple claims do not enlarge this limit.

In jurisdictions that do not allow the exclusion or limitation of certain damages, Nook's liability shall be limited to the maximum extent permitted by law. The disclaimers and limitations in Sections 10 and 11 are an essential basis of the bargain between you and Nook and apply even if any limited remedy fails of its essential purpose.

12. Indemnification

You agree to defend, indemnify, and hold harmless Nook Finances LLC, its members, officers, directors, employees, agents, affiliates, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right (including intellectual-property and privacy rights); (d) your connection of any financial account that you do not own or are not authorized to access; (e) your conduct within, or any data you share through, a Circle or Network Plan; or (f) any third-party claim arising from your use of the Platform. Nook reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully.

13. Termination

13.1 Termination by You

You may terminate your account and these Terms at any time by deleting your account within Settings or by contacting us at security@nookfinances.com. Upon termination, your right to access the Platform ceases immediately, and your data will be deleted in accordance with Section 7.2 of the Privacy Policy.

13.2 Termination by Nook

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including where: (a) you violate these Terms; (b) we are required to do so by law; (c) we determine your use poses a risk to the security or integrity of the Platform or any user; (d) we discontinue the Platform or any portion thereof; or (e) your account becomes inactive for an extended period.

13.3 Effect of Termination

Upon termination for any reason: (a) your license to use the Platform terminates immediately; (b) we may delete your account and data in accordance with our Privacy Policy; (c) any prepaid subscription fees are non-refundable except where required by law; and (d) Sections 7 (Intellectual Property), 8 (AI Features), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Dispute Resolution), and 15 (General) shall survive termination.

14. Dispute Resolution, Arbitration, and Class Waiver

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at security@nookfinances.com with a written description of your dispute and to attempt resolution informally for at least 60 days.

14.2 Binding Individual Arbitration

Except for claims that may be brought in small-claims court and except for actions seeking injunctive relief to protect intellectual-property rights, you and Nook agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English, in Pinellas County, Florida, or by remote means. Judgment on the arbitral award may be entered in any court of competent jurisdiction.

14.3 Class-Action and Jury Waiver

You and Nook each waive any right to a jury trial and any right to participate in a class, collective, consolidated, mass, or representative action. Any arbitration or proceeding shall be conducted only on an individual basis. If this waiver is found unenforceable as to any claim, that claim shall be severed and proceed in court, but the remainder shall remain in arbitration.

14.4 30-Day Opt-Out

You may opt out of Section 14.2 (Binding Individual Arbitration) and Section 14.5 (Mass-Arbitration Batching Protocol) by sending written notice to security@nookfinances.com within 30 days of first accepting these Terms, stating your full name, account email, and a clear statement that you opt out of arbitration. Opting out of arbitration also opts you out of the Mass-Arbitration Batching Protocol; you must then bring any claim individually in court subject to Section 14.7. Opting out does not affect any other provision of these Terms.

14.5 Mass-Arbitration Batching Protocol

If, at any time, twenty-five (25) or more arbitration demands of a substantially similar nature are filed against Nook by or with the assistance of the same law firm, group of coordinated firms, or other coordinated counsel within any rolling ninety (90)-day period, those demands shall constitute a "Mass Filing" and shall be administered by the American Arbitration Association (AAA) under its Mass Arbitration Supplementary Rules (or any successor rules thereto), in addition to the Consumer Arbitration Rules referenced in Section 14.2.

Within a Mass Filing, the AAA shall group cases into sequential batches of up to one hundred (100) demands each. A single AAA filing fee per batch shall apply, and the AAA's process-arbitrator framework shall govern selection of bellwether cases, resolution of issues common to the batch, and scheduling of subsequent batches. No further batch shall commence until the bellwether cases in the immediately preceding batch have been resolved or settled. The statute of limitations and any contractual limitations period (including Section 14.8) shall be tolled for any demand that is part of the Mass Filing but has not yet been individually filed, from the date the first demand in the Mass Filing was received by the AAA until the date that demand is filed or withdrawn.

If a court of competent jurisdiction finds this Section 14.5 unenforceable in whole or in part, it shall be severed and the remainder of Section 14 shall remain in full force and effect. Nothing in this Section 14.5 shall be construed to authorize class, collective, consolidated, or representative arbitration, which remain prohibited by Section 14.3.

14.6 Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply. To the extent any dispute is not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Pinellas County, Florida.

14.7 Pre-Suit Notice and Right to Cure

As a condition precedent to commencing any arbitration demand or small-claims-court action, you must first send a written notice of dispute to security@nookfinances.com that (a) identifies you by your full name and account email, (b) describes the nature and basis of the claim with reasonable specificity, (c) states the specific relief sought, and (d) is signed by you personally (counsel-signed notices are not sufficient). The parties shall then attempt in good faith to resolve the dispute informally for a period of at least sixty (60) days from Nook's receipt of the notice (the "Notice Period"). No arbitration demand or court action may be filed before the Notice Period has expired, and any statute of limitations or contractual limitations period shall be tolled during the Notice Period. Demands that do not comply with this Section 14.7 may be dismissed at any time on Nook's request, without prejudice to refiling after a compliant notice and Notice Period.

14.8 Time Limit on Claims

Any claim arising out of or related to these Terms or the Platform must be brought within one (1) year after the cause of action arose; otherwise it is permanently barred, except where prohibited by applicable law.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Nook with respect to your use of the Platform and supersede all prior communications and agreements.

15.2 Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes by email and/or prominent notice within the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.

15.3 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. The remaining provisions shall continue in full force and effect.

15.4 Waiver

Nook's failure to enforce any right or provision shall not be deemed a waiver. Any waiver must be in writing and signed by an authorized representative of Nook.

15.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Nook may freely assign these Terms in connection with a merger, acquisition, financing, or sale of substantially all of our assets.

15.6 Force Majeure

Nook shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, civil unrest, governmental action, labor disputes, third-party service outages (including Plaid, your financial institutions, our cloud host, the AI model provider, market-data providers, and the payment processor), cyberattacks, or internet infrastructure failures.

15.7 No Financial, Tax, or Legal Advisory Relationship

Nothing in these Terms or the Platform — including any AI-generated content, background-computed insight, Tax Module output, Playground simulation, benchmark percentile, report, or notification — creates a financial-advisory, fiduciary, broker-dealer, investment-adviser, insurance, accounting, tax-preparation, enrolled-agent, certified-public-accountant, or attorney-client relationship between you and Nook. The Platform is an informational tool only, and Nook does not hold itself out as licensed in any of the foregoing capacities.

15.8 Benchmarks & Community Features

Optional community benchmarking features compute anonymized aggregate percentiles only. Participation is voluntary and requires explicit opt-in. Individual user data is never displayed to other users. You may opt out at any time through Settings.

15.9 Notices and Electronic Communications

You consent to receive communications from Nook electronically, including emails, in-app notifications, and notices posted on the Platform. Electronic communications satisfy any legal requirement that such communications be in writing.
